PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY USING THIS WEBSITE AND THE SERVICES A USER AGREES TO BE BOUND BY ALL OF THESE TERMS AND CONDITIONS. PLEASE NOTE THAT THE COMPANY PROVIDES SERVICES IN INDIA AND IN COMPLIANCE WITH INDIAN LAW.
Welcome to Consentin, a privacy compliance and data governance platform developed and operated by Grey Swift Private Limited, which owns and operates the brand Leegality and Consentin (“we”, “us”, or “our”). These Terms of Use and Terms & Conditions (“Terms”) govern your access to and use of the Consentin website, dashboard, APIs, SDKs, and related services (“Software” or “Services”).
By using Consentin, you agree to be bound by these Terms. If you do not agree, you should not access or use our platform. Where you have entered into a specific Master Services Agreement (“MSA”) or commercial contract with us, that agreement will prevail to the extent of any inconsistency with these Terms.
1. About Consentin
Consentin is a suite of digital tools designed to help organizations manage and implement privacy governance practices in line with India’s Digital Personal Data Protection Act, 2023 (DPDPA). It provides modular functionality across areas such as:
- Consent and Cookie Management
- Data Principal Rights Management
- Data Mapping and Data Lifecycle Management
- Third Party Risk Management
- Consentin Lens, a client-hosted data discovery tool for structured and unstructured databases
2. Terms of Use – Website and Access
The Consentin website and dashboard are made available for legitimate business use by corporate clients, prospective customers, and authorized users. You agree that:
- You will provide accurate, complete, and current information during onboarding and maintain its accuracy thereafter.
- You are responsible for maintaining the confidentiality of your account credentials.
- You will use the website and platform only for lawful purposes and not engage in any activity that could damage, disable, or impair the operation of the Software.
- You will not upload or transmit any content that is unlawful, infringing, or violates any third-party rights.
Consentin reserves the right to suspend or restrict access to any user who violates these Terms or applicable laws.
3. Intellectual Property
The Services offered and the Website are owned and operated by Grey Swift Private Limited. The visual interfaces, graphics, design, compilation, information, computer code (including source code and object code), products, software, services, and all other elements of the services and the Website provided by Consentin are protected by Indian copyright, trade secret, patent and trademark laws, international conventions and all other intellectual property and proprietary rights and applicable laws.
Consentin grants you a limited, non-exclusive, non-transferable, and revocable license to access and use Consentin for your internal business purposes within India. Multiple users may operate under a single enterprise license, subject to your subscription plan.
You must not:
- Copy, modify, reverse-engineer, or distribute any part of the Software;
- Attempt to gain unauthorized access to the systems or networks hosting Consentin; or
- Resell, sublicense, or otherwise make the Software available to any third party.
Any API integrations or customized configurations shall be governed by separate documentation and applicable fees. Consentin may update, improve, or discontinue certain modules of the Software from time to time, with reasonable notice where feasible.
4. Data, Confidentiality, and Hosting
All data uploaded, processed, or managed through Consentin remains the property of the client.For SaaS-based modules, client data is hosted on secure servers managed by Consentin under certified frameworks including ISO 27001:2022, and SOC 2 Type 2. For Consentin Lens, all data resides entirely within the client’s infrastructure, and Consentin does not host or retain any copy of it.
5. Disclaimers and Limitation of liability
Consentin is a compliance enablement tool. It is intended to assist clients in implementing data protection, governance and privacy management measures but does not constitute legal advice or guarantee compliance with any law.
The Software and all associated materials are provided on an “as is” and “as available” basis. Consentin disclaims all warranties, express, implied, statutory or otherwise, including those relating to performance, merchantability, or fitness for a particular purpose.
Consentin does not warrant or represent that Artificial Intelligence features or output will be accurate, complete, current, or fit for any particular purpose. Users remain solely responsible for reviewing and verifying all AI Output before relying on it for legal, commercial, or operational decisions.
Consentin shall not be responsible for:
- Any downtime, delay, or disruption in access due to network or third-party system issues;
- Failures in third-party integrations, external APIs, or data sources;
- Loss or corruption of data arising from client actions, configurations, or system use.
- Misuse, loss, modification or unavailability of any user content and/or third party content.
- Any loss, damage, or claim arising out of or in connection with the client's use of or reliance on any AI feature or output.
To the maximum extent permitted by law, Consentin’s total liability under these Terms shall not exceed the fees paid by you during the 1 (one) month preceding the claim or ₹10,000, whichever is lower. In no event shall Consentin be liable for indirect, incidental, or consequential damages.
6. Client Obligations
You are responsible for ensuring that all data processed through Consentin has been lawfully collected and that your use of the Software complies with applicable laws.
You agree to indemnify and hold harmless Consentin, its officers, employees, and affiliates against any claim, loss, or expense arising from your misuse of the Software, unlawful data processing, or violation of these Terms.
7. Suspension and Termination
Consentin may suspend or terminate access to the Software if you violate these Terms, fail to make payments, or if suspension is necessary for maintenance or compliance purposes.
You may terminate your use of the Software at any time by discontinuing access. Unless otherwise agreed in writing, all fees paid are non-refundable.You have the right to access, update, or delete your personal data. We respect your rights over your personal data and strive to make it easy for you to exercise them.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of India and the Services are to be used in India.
IN CASE THE USER IS A CITIZEN OR RESIDENT OF THE EUROPEAN UNION, THE STATE OF CALIFORNIA OR ANY OTHER JURISDICTION WHICH PRESCRIBES OR REGULATES THE USE OF PERSONAL INFORMATION OR WHICH IMPOSES ADDITIONAL REQUIREMENTS FOR THE USE OF PERSONALLY IDENTIFIABLE INFORMATION IN ADDITION TO INDIAN LAW OR IS INCONSISTENT WITH INDIAN LAW, THE USER IS REQUIRED TO DETERMINE THE SUITABILITY OF THE USE OF THE SERVICES.
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
Any disputes arising from the use of the Services or these terms may be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator with the seat of arbitration in New Delhi and proceedings conducted in English.
11. Miscellaneous
Consentin will not be responsible for any failure or delay due to events beyond its reasonable control, including natural disasters, network failures, or government actions.
You may not assign or transfer your rights or obligations under these Terms without prior written consent. Consentin may assign these Terms to its affiliates or successors.
We may update these Terms periodically. The latest version will always be available at www.consent.in/terms. Continued use of the Software after such updates constitutes your acceptance of the revised Terms.
If any part of these Terms is held invalid, the remaining provisions shall continue in full effect. No waiver of rights under these Terms shall be effective unless made in writing.
In compliance with Information Technology Act, 2000 and the rules made thereunder, the Grievance Officer of the Company for the purpose of these Terms of Use is set out below. The Company may change the aforesaid details from time to time.
